Corporate Securities Law Clerk

Our dynamic client, a public corporation, is growing! They are looking for a 3-5 year Law Clerk to join its team. In this role you will be an integral part of the legal team dealing with corporate, securities and corporate governance matters.
Duties & Responsibilities:
- Managing corporate records, including maintenance of minute books and the corporate entity database
- Preparing documents for formation and dissolution of entities
- Filing annual returns filings in Canada and U.S. and drafting minutes/resolutions
- Preparing organizational resolutions, bylaws, LLC operating agreements and other constating documents
- Lead responses to know your customer (KYC) requests from financial institutions, including preparing AML certifications/letters
- Assist with bank account openings
- Performing various corporate searches and corporate on-line registrations
- Liaise with internal legal counsel and outside counsel and other internal functional groups
- Preparing officer certificates and notarial certificates
- Maintaining entity lists and organizational structure charts and co-ordinating quarterly with various business groups and operating companies for updates
- Manage Diligent entities database and CSC portal
- Preparing and completing Canadian securities regulatory filings for public companies on SEDAR, EDGAR and TSX, including with respect to Insider Reporting obligations
- Drafting and/or reviewing legal documents and resolutions and assisting with diligence to support acquisitions, dispositions, financings, and corporate and restructuring matters
Requirements:
- Diploma from a recognized Ontario Law Clerk program certified with The Institute of Law Clerks of Ontario (or qualifying legal experience with an outstanding performance record)
- 3-5 years of experience as a corporate law clerk. Experience in a law firm or in-house legal department of large public company an asset
- Comfortable with SEDI, SEDAR, EDGAR and TSX filings
- Familiar with various Canadian and provincial corporate registry on-line and paper filings and searches and U.S. Secretary of State business entity searches and filings
- Exceptional attention to detail
- Professionalism and ability to take accountability for providing timely and accurate responses to inquiries from internal and external stakeholders
- Able to work well under pressure, to manage multiple tasks and take ownership in supporting the team
- Excellent interpersonal skills and ability to work independently with minimal supervision, as well as in a group alongside all levels and departments of the organization
- Excellent communication (verbal and written) and organizational skills
- MS Word, Excel, PowerPoint, Visio, iManage and corporate legal records software/database
