Our client, an established and growing law firm in the Mid-Atlantic region, is seeking a Business Transactions Attorney to join a sophisticated and expanding business law practice.
This opportunity is ideal for an attorney who enjoys advising business owners, entrepreneurs, and privately held companies on complex business matters, commercial agreements, corporate governance, and strategic transactions.
Responsibilities
- Draft, review, and negotiate a variety of commercial agreements, including service agreements, vendor agreements, operating agreements, shareholder agreements, employment agreements, and other business contracts
- Advise clients on entity formation, governance, ownership structures, business succession, and corporate compliance matters
- Support and lead business acquisitions, ownership transfers, corporate restructurings, and other transactional matters
- Conduct legal due diligence and assist with transaction execution and closings
- Counsel business owners and executives on legal risk, growth initiatives, and day-to-day operational matters
- Build trusted relationships with clients and serve as a strategic business advisor
- Work collaboratively with accountants, financial advisors, and other professionals to deliver practical business solutions
Qualifications
- J.D. from an accredited law school
- Active Maryland Bar admission (or ability to obtain admission)
- 5+ years of business, corporate, or transactional law experience
- Experience drafting and negotiating commercial agreements
- Experience advising privately held businesses, entrepreneurs, or middle-market companies
- Strong communication, negotiation, and client relationship skills
- Ability to independently manage client matters from inception through completion
Preferred
- Current or recent law firm experience
- Experience handling mergers and acquisitions, ownership transfers, or corporate restructuring matters
- Outside General Counsel experience
- Interest in business development and helping grow an established practice
