SickKids Foundation, with over 50 years of philanthropic impact in 2023, is Canada's largest charitable funder of child health research, learning, and care, raising over $200 million last year. SickKids Foundation is seeking an experienced governance professional to oversee Board relations, corporate governance, and legal support functions. In this role, you will serve as a key partner to the Corporate Secretary, General Counsel, Chief of Staff, and senior leadership. You will lead the full cycle of Board and Committee activities, uphold strong governance practices, and support effective, high-level decision-making across the organization.
Lead the full governance cycle for 35+ Board Members across multiple Committees and entities.
Manage workplans, agendas, guides, minutes, resolutions, presentations, and meeting follow-up.
Work with Board/Committee Chairs to ensure smooth in-person and virtual meetings.
Oversee preparation and quality of all Board materials and support senior leaders with content.
Manage governance systems and records, including Diligent Portal oversight and training.
Manage onboarding and orientation for new Board Members and Chairs.
Serve as the main contact for Board inquiries and support.
Coordinate Board engagement activities, surveys, retreats, events, receptions, and the Trustees Emeriti program.
Work with hospital partners on joint Board and Committee planning.
Serve as Corporate Secretary for SKCGF, managing meetings, resolutions, policies, and regulatory filings.
Complete corporate and regulatory filings across multiple jurisdictions (Canada, U.S., U.K., Caribbean).
Support Imagine Canada re-accreditation and other governance excellence initiatives.
Manage compliance reporting, conflict of interest attestations, and required Board documentation.
Oversee complaints reporting and support policy review and approval processes.
Drive ongoing governance improvements and best practices.
Provide high-level support to the Chief of Staff, COO, and General Counsel.
Prepare high-quality materials and communications, anticipating needs and ensuring strong follow-through.
Manage executive correspondence to Board Members and Trustees.
Strong experience in corporate governance, Board/Committee administration, drafting documents, and minute-taking.
Excellent communication skills and confidence working with senior leaders and Board Members.
Exceptional organization, attention to detail, and ability to manage complex processes.
Ability to handle sensitive information with discretion and professionalism.
Strong records management skills and comfort with multi-step processes.
Ability to stay calm under pressure and manage shifting priorities.
Strong relationship-building and collaboration skills.
Advanced MS Office skills and experience with governance platforms (e.g., Diligent).
Proactive, solution-focused mindset with strong project management abilities
