This role offers the opportunity to apply strong legal, analytical, and negotiation skills to evaluate coverage, assess financial exposure, and drive effective claim resolutions involving mergers, acquisitions, and other corporate transactions.

Position Overview

The Transactional Liability Claims Professional will oversee claims from initial investigation and coverage analysis through resolution and settlement. The ideal candidate will have a Juris Doctor (J.D.) degree and experience in transactional liability insurance, mergers and acquisitions, private equity transactions, or corporate transactional law.

Key Responsibilities

  • Claim Investigation & Coverage Analysis: Investigate complex claims involving alleged breaches of representations and warranties arising from mergers, acquisitions, and other corporate transactions.

  • Document Review: Analyze insurance policies, purchase agreements, disclosure schedules, financial statements, due diligence materials, and other transaction-related documentation.

  • Coverage Evaluation: Assess policy application, including alleged breaches, covered losses, retentions, exclusions, valuation considerations, and damages calculations.

  • Coverage Documentation: Prepare detailed coverage position letters, reservation of rights letters, requests for information, and formal coverage determinations.

  • Claim Valuation & Reserve Management: Evaluate liability and damages exposure using financial, accounting, operational, and legal documentation. Establish, monitor, and adjust claim reserves as circumstances evolve.

  • Strategic Recommendations: Develop coverage assessments and reserve recommendations for management review and decision-making.

  • Expert Collaboration: Coordinate with outside counsel, forensic accountants, valuation professionals, and industry experts to evaluate complex claims and support informed decisions.

  • Negotiation & Resolution: Develop and execute claim resolution strategies, negotiate settlements, and prepare settlement agreements, releases, and related documentation.

  • Litigation Oversight: Monitor litigated claims when necessary, including coordinating outside counsel and overseeing litigation budgets and case strategy.

  • Portfolio Management: Independently manage a portfolio of complex claims while maintaining strong analytical standards, sound judgment, and timely service delivery.

Qualifications

  • Juris Doctor (J.D.) degree required.

  • Significant experience in transactional liability insurance, mergers and acquisitions, private equity transactions, or legal practice focused on corporate transactions and M&A.

  • Direct experience handling Representations & Warranties Insurance claims preferred.

  • Experience representing buyers, sellers, private equity sponsors, insurers, or financial institutions in M&A transactions preferred.

  • Familiarity with accounting principles, valuation methodologies, and financial statement analysis.

  • Experience evaluating complex damages, financial exposure, and loss calculations.

  • Background working with private equity, venture capital, or corporate transactional clients preferred.

Knowledge, Skills & Abilities

  • Knowledge of M&A transaction structures, purchase agreements, and corporate law principles.

  • Ability to identify and analyze nuanced insurance coverage issues and legal arguments.

  • Advanced analytical, investigative, and critical-thinking skills.

  • Strong financial acumen and sound judgment in claim valuation and reserve setting.

  • Excellent negotiation, communication, and relationship-management skills.

  • Ability to influence outcomes and develop effective strategies for high-exposure claims.
