Client Profile
Our client, a well-established full-service business law firm located in Torontos financial district, is currently seeking an experienced Commercial Real Estate Law Clerk to join its busy Real Estate Group.
This is an excellent opportunity for a seasoned law clerk to support a Senior Partner with a robust commercial real estate practice and take ownership of sophisticated transactions from inception through closing. The successful candidate will work on high-value matters involving institutional lenders, developers, investors, and borrowers, with a particular focus on secured lending, commercial acquisitions and dispositions, development, and leasing.

Duties & Responsibilities
Manage secured lending and financing transactions from commitment through to funding and closing.
Prepare closing agendas and coordinate with lenders, borrowers, opposing counsel, title insurers, and other transaction parties.
Draft, review, and register charges, mortgages, and related financing documentation.
Conduct and analyze off-title searches and prepare requisition letters.
Review and respond to requisitions from lenders counsel and other transaction parties.
Manage post-closing requirements, including the discharge of prior encumbrances, registration confirmations, reporting, and outstanding closing matters.
Run purchase and sale closings involving commercial properties, including office buildings, industrial facilities, shopping centres, multi-residential properties, and mixed-use developments.
Conduct title searches and identify and resolve title defects, encumbrances, work orders, and other issues affecting the property.
Prepare and review agreements of purchase and sale, transfers, directions regarding title, undertakings, statements of adjustments, requisitions, and ancillary closing documentation.
Coordinate with title insurance underwriters and obtain lender and owner title insurance policies.
Manage the electronic registration of documents through Teraview.
Prepare and maintain organized electronic closing binders and transaction files.
Monitor deadlines, closing requirements, and outstanding deliverables across multiple active transactions.
Support the administrative needs of the practice group, including file organization, billing support, and client reporting.
Communicate directly with clients and external professionals while independently managing assigned files.
Requirements
A minimum of 57 years of commercial real estate law clerk experience within a Bay Street, regional, national, or similarly sophisticated law firm environment.
Extensive experience managing commercial real estate transactions from inception through closing.
Advanced experience with secured lending, commercial acquisitions, and commercial dispositions.
Solid knowledge of commercial title searching, off-title due diligence, title insurance, and electronic registrations.
Advanced proficiency with Teraview, Conveyancer, and Microsoft Office.
Law Clerk diploma from an accredited Ontario college or equivalent legal education.
Excellent drafting, analytical, and problem-solving skills.
Meticulous attention to detail and the ability to manage multiple time-sensitive closings simultaneously.
Strong organizational and time-management skills.
Professional communication skills with the ability to liaise directly with clients, lawyers, lenders, and external stakeholders.
Ability to work independently while contributing collaboratively within a fast-paced, deal-driven team.
