Client Profile
Our client, a well-established Toronto law firm, is currently looking for a Corporate Law Clerk to join its growing Corporate Law Department. Duties & Responsibilities:
- Draft corporate documents relating to annual resolutions, incorporations, amalgamations, financings, dissolutions, and other corporate transactions.
- Conduct minute book reviews and maintain corporate records and registers.
- Conduct corporate searches and analyze and summarize search results.
- Prepare registrations, discharges, and amendments under applicable PPSA legislation.
- Assist with corporate reorganizations and share and asset purchase transactions.
- Prepare and maintain transaction closing checklists.
- Draft closing documents, including resolutions, officers' certificates, and supporting corporate documents.
- Prepare closing books and reporting letters.
- Manage multiple files while ensuring accuracy and meeting deadlines.
- Provide additional corporate law support as required.
Requirements:
- Minimum 3+ years of experience as a Corporate Law Clerk.
- Experience using Corporate Manager.
- Law Clerk diploma or certification is an asset.
- Solid knowledge of the CBCA, OBCA, PPSA, and other applicable corporate legislation.
- Experience conducting corporate searches and maintaining corporate records.
- Strong analytical, organizational, and time management skills.
- Ability to prioritize competing deadlines in a fast-paced environment.
- Proficiency with Microsoft Office.
- Experience with Legal Kiosk or other electronic minute book database software is an asset.
- Ability to work independently while contributing effectively as part of a collaborative team.
