Our client, a well-established Toronto law firm, is seeking an experienced Commercial Real Estate Law Clerk to join its growing team. The successful candidate will support lawyers on a variety of commercial lending and real estate transactions, including commercial purchases, sales, financing, and refinancing matters. This is an excellent opportunity for a law clerk with strong commercial lending experience who enjoys working on sophisticated transactions involving both traditional and private lenders.
Duties & Responsibilities
- Assist lawyers with commercial real estate and lending transactions
- Manage commercial purchases, sales, mortgages, refinancing, and lending files
- Prepare, review, and organize mortgage and loan documentation
- Conduct title and off-title searches
- Prepare title reports and summarize search results
- Coordinate with lenders, borrowers, lawyers, and third parties throughout transactions
- Manage file closings and post-closing requirements
- Draft loan and security documents
- Prepare and review PPSA registrations and related documentation
- Assist with syndicated loan and mezzanine financing transactions
- Review and prepare corporate searches
- Ensure compliance with lender requirements, including KYC and AML obligations
Requirements
- Minimum 5 years of experience as a Commercial Real Estate Law Clerk
- Strong experience working on both the lending and borrowing sides of commercial financing transactions
- Experience handling commercial purchases, sales, mortgages, refinancing, and lending matters
- Experience conducting title and off-title searches and preparing title reports
- Knowledge of syndicated loans and mezzanine financing
- Experience dealing with banks and private lenders is considered a strong asset
- Familiarity with lender KYC and AML requirements
- Experience reviewing and preparing corporate searches and PPSA registrations
- Excellent organizational, communication, and time management skills
- Ability to manage multiple files and deadlines in a fast-paced environment
