Our client, a well-established Toronto law firm, is seeking an experienced Commercial Real Estate Law Clerk to join its growing team. The successful candidate will support lawyers on a variety of commercial lending and real estate transactions, including commercial purchases, sales, financing, and refinancing matters. This is an excellent opportunity for a law clerk with strong commercial lending experience who enjoys working on sophisticated transactions involving both traditional and private lenders.

Duties & Responsibilities

  • Assist lawyers with commercial real estate and lending transactions
  • Manage commercial purchases, sales, mortgages, refinancing, and lending files
  • Prepare, review, and organize mortgage and loan documentation
  • Conduct title and off-title searches
  • Prepare title reports and summarize search results
  • Coordinate with lenders, borrowers, lawyers, and third parties throughout transactions
  • Manage file closings and post-closing requirements
  • Draft loan and security documents
  • Prepare and review PPSA registrations and related documentation
  • Assist with syndicated loan and mezzanine financing transactions
  • Review and prepare corporate searches
  • Ensure compliance with lender requirements, including KYC and AML obligations

Requirements

  • Minimum 5 years of experience as a Commercial Real Estate Law Clerk
  • Strong experience working on both the lending and borrowing sides of commercial financing transactions
  • Experience handling commercial purchases, sales, mortgages, refinancing, and lending matters
  • Experience conducting title and off-title searches and preparing title reports
  • Knowledge of syndicated loans and mezzanine financing
  • Experience dealing with banks and private lenders is considered a strong asset
  • Familiarity with lender KYC and AML requirements
  • Experience reviewing and preparing corporate searches and PPSA registrations
  • Excellent organizational, communication, and time management skills
  • Ability to manage multiple files and deadlines in a fast-paced environment
