Our Client

 

Our client is a highly regarded Canadian organization seeking an experienced In-House Legal Counsel, Corporate & Commercial (Bilingual) to join its legal team.

This is an excellent opportunity for a lawyer with strong corporate and commercial experience to work on a broad range of legal matters, including commercial contracting, procurement, corporate governance, compliance, policy development and general advisory work. The successful candidate will provide practical legal advice to internal stakeholders and support a variety of business initiatives in a dynamic and collaborative environment.

Duties & Responsibilities

 

  • Draft, review and negotiate a variety of commercial agreements and related legal documentation in both English and French
  • Provide legal support in connection with procurement activities and contract negotiations
  • Identify legal risks and provide practical recommendations and solutions
  • Advise on corporate governance, compliance and policy-related matters
  • Assist with the development, review and implementation of internal policies and procedures
  • Support legal aspects of organizational initiatives and projects
  • Conduct legal research and prepare memoranda, opinions and other legal documents
  • Interpret and advise on applicable legislation, regulations and contractual obligations
  • Collaborate with internal stakeholders to provide timely and effective legal support
  • Assist with the development and maintenance of legal templates, precedents and internal guidance materials
  • Participate in process improvement and knowledge management initiatives
  • Perform other related duties as required

Requirements

 

  • LL.B., J.D. or equivalent law degree
  • Fully bilingual in English and French, with strong verbal and written communication skills in both languages
  • Licensed and in good standing to practice law in Ontario or Québec
  • Approximately 3+ years of post-call experience gained in private practice and/or an in-house legal environment
  • Experience drafting, reviewing and negotiating commercial agreements
  • Experience providing legal advice on procurement, governance, compliance and policy matters
  • Excellent legal drafting, analytical and problem-solving skills
  • Strong interpersonal and relationship-building abilities
  • Exceptional organizational and project management skills
  • Ability to manage multiple priorities and meet deadlines in a fast-paced environment
  • Sound judgment, professionalism and attention to detail
  • Ability to work independently while contributing effectively within a team environment
