Our client
A growing national healthcare organization is seeking a Senior Law Clerk – Corporate & Commercial to join their in-house legal team. This role will support a national platform that includes specialty pharmacies, patient support programs (PSPs), pharmaceutical manufacturer partnerships, wholesale distribution, and infusion clinics. Reporting to the General Counsel, the successful candidate will provide legal support in corporate governance, commercial contracts, real estate, and regulatory compliance while working closely with executive leadership and operational teams.
Duties & Responsibilities
- Maintain corporate records, minute books, and registers for the parent company and subsidiaries across multiple provinces.
- Prepare corporate documents including board and shareholder resolutions, annual filings, incorporations, reorganizations, and extra-provincial registrations.
- Support due diligence and documentation for corporate transactions, mergers, and acquisitions.
- Draft, review, negotiate, and manage a variety of commercial agreements including service agreements, distribution agreements, NDAs, and supplier contracts.
- Collaborate with internal teams to structure and manage agreements with healthcare professionals, suppliers, and strategic partners.
- Oversee the company’s national commercial lease portfolio including lease preparation, renewals, terminations, and critical date tracking.
- Maintain corporate, pharmacy, and operational licensing and compliance calendars and monitor regulatory developments.
- Provide legal support to internal departments and assist with board materials, governance tracking, and development of legal templates and policies.
Requirements
- Law Clerk Diploma, Paralegal License, or equivalent legal training.
- Minimum 6+ years of corporate/commercial law clerk or paralegal experience, including at least 3 years in an in-house legal environment.
- Strong expertise in corporate governance, commercial contract management, and real estate/lease administration.
- Experience supporting corporate transactions, due diligence, and regulatory compliance initiatives.
- Industry experience in specialty pharmacy, patient support programs (PSPs), wholesale distribution, or healthcare environments considered a strong asset.
- Excellent drafting, negotiation, and organizational skills with a practical, business-oriented approach.
- Proficiency with contract and entity management systems, Microsoft Office Suite, and real estate or lease tracking tools.
