Client Profile 

Our client, is currently looking for a Corporate Law Clerk. This firm has an excellent culture and a lot of career development opportunities. 

Duties and Responsibilities: 

  • Working directly with clients and lawyers to coordinate and participate in the creation of draft and final documents using digital software or precedent bank;
  • From initial contact to final delivery, you will coordinate the client-lawyer relationship and ensure best in class legal services are provided;
  • Completing intake process with clients, opening and creating client files digitally and physically, inputting all required client information;
  • Drafting, filing and sending out retainer agreements and reporting letters, articles of incorporation, articles of amendment, and corporate dissolutions;
  • Minute book review;
  • Drafting agendas, closing documents, statement of adjustments, trust ledgers and other necessary closing documents pertaining to asset or share purchases and sales;
  • Drafting rollovers, share exchange agreements, and corporate resolutions pertaining to these transactions;
  • Attending to administrative duties such as following up on outstanding invoices, filing documents, and sending couriers;
  • those general duties which are customary for a clerk working at a midsize firm; and
  • Any other duties and responsibilities assigned to you by the Firm from time to time 

 

 

 

Requirements: 

 

 

-           5+ years of experience in Corporate/Commercial Law;

-           Successful completion of Legal Assistant or Law Clerk diploma program;

-           Familiarity with the LEAP, Office 365, ESC, ONCORP, LexisPlus, CaseLines;

-           Proficient with MS Office 365 (Word, Excel, Outlook, PowerPoint, Teams,);

-           Excellent communication, interpersonal and time management skills;

-           Demonstrative analytical skills, good judgment, and a and high attention to detail; and

-           Ability to work well in a team as well as with minimum supervision when required.
