Duties and Responsibilities:
- Perform Incorporations, amendments, continuances, dissolution and amalgamations;
- Assist with rollovers, corporate reorganizations, various resolutions and promissory notes;
- Organize, maintain, and update corporate files and records in an electronic entity management system;
- Minute-book review and maintenance;
- Comfortable with all forms of minute book documents;
- Including annual resolutions, all types of dividends (stock, eligible, other than eligible, capital);
- Prepare documentation relating to secured financing transaction;
- Preparing and filing all registrations, filing of Annual Returns, Initial Returns, Notices of Change;
- Incorporations and organizations (Ontario and Federal),
- Liaising with lawyers, clients and agents while providing high-quality, professional service;
- Conduct minute book and corporate records reviews, prepare rectification recommendations and necessary documentation; and
- Additional duties as needed.
Requirements:
- 5-10+ years of experience as a Corporate Law Clerk working in a law firm;
- Law Clerk diploma from an accredited institution;
- Strong proficiency with MS Office Suite;
- Experience using Ecore and the OBR;
- Ability to prioritize and meet urgent deadlines;
- Demonstrative analytical skills, good judgment, and a and high attention to detail;
- Excellent interpersonal, organizational, and communication skills (written and verbal);
- Ability to maintain strict confidentiality with high ethical standards; and
- Capable of working well in a team as well as independently when required.
